In the film and television investment contract, the order of investment payment and startup is not clear, and the parties have disputes about it. The performance order of a bilateral contract directly affects the exercise of the parties’ legal right of defense. The order of performance is a matter of performance mode. If the agreement on the way of performance is unclear, it should be determined according to the legal provisions or trading habits. If it is still uncertain, it should be determined in a way that is conducive to achieving the purpose of the contract.

On August 30, 2021, Party A and Party B signed the Agreement on Joint Investment and Production of TV Series, which mainly stipulated: 1. Party A is the project master of TV Series, fully responsible for organizing the production, publicity and distribution of the drama, and Party B invests in the drama in the form of venture capital. 2. The total budget of the play is RMB 250 million. 3. The starting time of the play is expected to be September 20th, 2021. 4. Party B contributes capital in cash, with an investment amount of 50 million yuan only, and enjoys 20% of the total income of this project. 5. Payment time of funds: (1) Within 15 working days after the signing of this agreement, Party B will pay 20 million yuan; (2) Five natural days before the play starts, Party B pays 20 million yuan; (3) Party B shall pay 10 million yuan within 30 natural days from the date when the play is turned on. 6. As the executive producer of the drama, Party A is fully responsible for the production progress of the drama, and plans to start the drama no later than September 20, 2016.

After the contract was signed, Party B did not pay the investment. On September 27th, 2021, Party A sent a reminder letter to Party B, urging Party B to pay the investment amount of 20 million yuan. B didn’t pay after signing the dunning letter, and A didn’t turn it on. Party A thinks that Party B’s failure to pay the investment funds as agreed constitutes a breach of contract, and claims that Party B shall bear the liability for breach of contract.

Party B claims that Party A should start the machine first, and then pay the first investment, and Party B has the right to refuse its payment request if Party A fails to perform the startup obligation. B’s exercise of the right of defense before performance does not constitute a breach of contract. Party A thinks that Party B should fulfill its capital contribution obligation first, and its startup obligation comes later.

As for the payment method of B’s funds, the contract stipulates that B’s funds will be paid in three installments, the first payment will be made within 15 working days after the signing of the agreement, that is, before September 20, 2021, the second payment will be made five days before the startup, and the third payment will be made within 30 days after the startup. The payment of the second and third funds is conditional on the startup. For the start-up, the contract stipulates that A plans to start the play no later than September 20, 2021. There are two expressions of "plan" and "no later than" in the aforementioned agreement. There are two explanations for its meaning: starting the machine before September 20, 2021 is a definite obligation, and Party A should complete the startup task before this time, and starting the machine before September 20, 2021 is only a tentative plan, not a definite obligation. For the explanation of its meaning, this paper tends to the latter. The reasons are as follows:

First of all, from the perspective of contract interpretation, if there is an interpretation of private party’s expression of will, the meaning of the expression of will should be determined according to the words used, the nature and purpose of the relevant clauses, habits and the principle of good faith. Article 3 of the contract stipulates that the starting time of this drama is expected to be September 20, 2021. The startup time agreed in this article is the estimated time. According to Articles 3 and 6 of the contract, September 20, 2021 is the estimated startup time.

Secondly, from the point of view of contract loophole filling, the sequence of startup and investment payment obligation involves the issue of performance mode. Article 510 of the Civil Code stipulates that after the contract comes into effect, if the parties have not agreed or clearly agreed on the quality, price or remuneration, place of performance, etc., they may supplement it by agreement; If a supplementary agreement cannot be reached, it shall be determined in accordance with the relevant provisions of the contract or trading habits. Article 511 stipulates that if the parties’ agreement on the contents of the relevant contract is unclear and cannot be determined according to the provisions of Article 510 of the Civil Code, the following provisions shall apply: if the method of performance is unclear, it shall be performed in a way conducive to achieving the purpose of the contract. According to the contract, the analysis is as follows: (1) If it is a definite time to start the machine on September 20, 2021, according to the contract, the first fund of Party A should be paid before September 20, 2021, the second fund should be paid before September 15, 2021, which is obviously illogical and not true. (B) The significance of fulfilling the obligation to pay the investment funds is to provide production funds for the play. When the contract was signed, the drama didn’t start shooting. The purpose of A’s investment in B was to raise funds for the drama, and the purpose of B’s investment was to provide shooting funds for the drama, complete the shooting and production of the TV series, and obtain income through distribution. Judging from the signing time of the contract and the agreement on the start-up time, the purpose of B’s investment fund is the shooting and production of the play, and the investment fund is actually the production fee. Usually, the venture capitalist pays part of the investment money first,It is in line with the investment practice and the contractual purpose of all investors to turn on the computer after the party who performs the production task. Therefore, it is more reasonable to plan the startup time on September 20, 2021. (3) The signing of the contract is a fact that the parties can decide, but the starting of the TV series is an uncontrollable fact. Whether the TV series can be started is restricted by many factors, such as the availability of funds, the signing of the main creator, the participation of actors, etc., and there is some uncertainty, which belongs to the category of conditions. It can be expected and foreseen but cannot be determined. Even if the agreed time is fixed, the parties should judge in advance that it cannot be achieved. Based on the foregoing analysis, the contract involved in the case stipulates that Party B shall pay the first investment before September 20, 2021, and determine the starting time after receiving the payment, and Party B shall pay the second investment five days before starting.

To sum up, Party B’s first investment payment obligation comes first, and Party A’s startup obligation comes last. The order of the two obligations can be determined. B’s claim about exercising the right of defense of prior performance lacks factual basis and cannot be established. Its failure to fulfill its payment obligation as agreed constitutes a breach of contract.

The method of performance is the specific method that the debtor should take to perform his debts. The mode of performance is generally determined by the nature and content of the contract. When the mode of performance cannot be determined, it should be performed in a way that is conducive to achieving the purpose of the contract. The purpose of the contract should be determined according to the original purpose of the debt corresponding to the debt and the interests expected by the creditor through the debt.

How do college students feel after a month of online classes?

Affected by the COVID-19 epidemic, colleges and universities all over the country started online teaching on the original starting date (around February 17th). As of March 14th, online teaching in most colleges and universities has been going on for about four weeks, and the online teaching has entered a relatively stable state. At this time, it is urgent to investigate and study the effect of online teaching in colleges and universities nationwide, so as to provide reference for college teachers to improve the effect of online teaching. Therefore, the research group of Hebei University conducted a survey on the effect of online teaching during the epidemic period for college students nationwide from March 14th to March 17th, 2020.

A total of 5094 valid samples were obtained in this survey. The respondents came from 113 universities in China, covering 13 disciplines, from the first year of university to the third year of graduate students, of which 34.9% were men and 65.1% were women.

According to the survey data, 69.16% of the students spend more than 4 hours in online teaching every day, among which 21.83% have more than 6 hours in online courses every day, and only 30.84% have less than 4 hours in online courses every day. It can be seen that the online learning task of college students is heavier.

First, the overall evaluation of online teaching-"It is not easy to say that I love you!"

Then, compared with the traditional classroom, what is the overall evaluation of students on the simple online teaching?

1. Network teaching has no obvious effect on highlighting students’ dominant position.

Compared with traditional classroom teaching, online teaching highlights students’ dominant position. Do you agree with this statement? In the answer to this question, 45.23% of the students said "agree or strongly agree", 41.58% said "average" and 13.19% said "disagree or strongly disagree".

2. Online teaching has improved students’ self-study ability.

Compared with traditional classroom teaching, online learning has enhanced my self-study ability. Do you agree with this statement? According to the statistics of the answer to this question, 59.71% of the students chose "agree or strongly agree".

3. Web-based teaching has not well mobilized the enthusiasm of college students for class participation.

Compared with traditional classroom teaching, students are more enthusiastic about participating in online classroom. Do you agree with this statement? According to the statistics of the answer to this question, only 38.10% of college students said "agree or strongly agree" and as many as 22.58% said "disagree or strongly disagree".

4. The effect of online teaching in improving the interaction between teachers and students is average.

Compared with traditional classroom teaching, there is more interaction between teachers and students in online teaching. Do you agree with this statement? According to the statistics of the answer to this question, only 34.58% of college students said "agree or strongly agree" and as many as 19.55% said "disagree or strongly disagree".

5. The learning efficiency of students in online classroom teaching mode is not as good as that in traditional classroom.

Compared with traditional classroom teaching, online learning improves learning efficiency. Do you agree with this statement? According to the survey of this issue, as many as 29.78% of the students said "disagree or disagree very much", and only 29.78% said "agree or disagree very much".

Second, the choice of teaching methods after the epidemic-"still reluctant to part with you!"

The data shows that the teaching method of "traditional classroom teaching is the main method, supplemented by network teaching" has become the first choice for college students after the epidemic. This shows that the position of traditional classroom teaching cannot be replaced, but simple traditional classroom teaching and simple network teaching are not the first choice of students. On the contrary, the teaching method of "traditional classroom teaching is the main one, supplemented by network teaching" has become the first choice of college students. This requires that colleges and universities in China should seize the opportunity of implementing large-scale network teaching brought by the epidemic and vigorously develop network teaching in conjunction with traditional classroom teaching methods in the reform of teaching methods after the epidemic.

Third, the evaluation and analysis of the teaching effect of specific courses-"Old wine in new bottles, both are important"

We ask students to choose the specific course that they think is the best or the worst this semester to evaluate and answer the specific situation of this course.

1. Students have a high evaluation of the selected courses.

Among the scores of the selected courses, 74.07% students scored above 80, 18.59% students scored 60-80, and only 7.34% students scored below 60. It can be seen that students have a high evaluation of the effect of the selected courses.

2. The teaching effect of specialized courses is better than that of public courses, the teaching effect is better in the morning, and the network teaching effect of small-scale classes is better.

The results of data analysis show that there are significant differences in the teaching effect of different courses, different class periods and different class sizes. The teaching effect of specialized courses is better than that of public courses, the teaching effect of morning classes is better, and the network teaching effect of small-scale classes is better.

3. The teaching effect of live video is obviously better than other methods.

The data shows that the teaching effect of live video is better than other forms, which also shows that "seeing is believing". Although students study at home, they are still eager for "face-to-face" real-time classroom form.

4. Courses with better image and sound transmission effect have better teaching effect.

The biggest feature of network teaching is that it is subject to the network transmission situation. The results in Table 4 show that different network conditions and sound transmission effects will bring different teaching effects, and the evaluation of teaching effects with good network conditions and sound transmission conditions is also better.

5. Electronic textbooks and supplementary materials are provided, and the teaching effect is better.

During the epidemic period, students can’t go to school to get paper-based course materials such as textbooks and teaching AIDS, so whether online courses provide rich electronic course resources has become one of the factors that affect the teaching effect.

6. Online check-in and preview tasks are arranged in advance, and the online teaching effect is better.

The results in Table 6 show that the pre-class task arrangement and electronic sign-in of online courses are also factors that affect the teaching effect of the course.

7. The course of using electronic blackboard books has a good teaching effect.

Although the fluency and effect of online teaching electronic blackboard can’t be compared with the physical blackboard, the data show that the teaching effect of the course using electronic blackboard in the course is obviously better.

8. The higher the number of teacher-student interactions and the number of students who speak, the better the classroom effect.

Classroom interaction is an important link and means to improve students’ participation and enthusiasm in class, which is also fully applicable to online teaching.

9. The course of homework and answering questions in time after class is arranged, and the teaching effect is good.

Paying attention to after-class links can effectively improve the teaching effect of the course, which is also fully applicable to online teaching.

10. Courses that can be played back have better teaching effect.

Online courses can be recorded and replayed conditionally, and the teaching effect of courses with replay is better, which requires teachers to make full use of the advantages and specialties of online teaching.

To sum up, the factors that affect the teaching effect of online courses are not only the traditional teaching factors such as preparation of teaching resources before class, interaction in class, homework and counseling and answering questions after class, but also the specific class form and the transmission effect of images and sounds. That is to say, online teaching only changes the teaching way and carrier, and its connotation has not changed except choosing the appropriate class form and smooth network guarantee, which depends on the energy input of teachers in the teaching of this course. It is called "new bottles and old bottles"

Yes, even an internal staff member of a large medical examination institution revealed that "medical examination is a matter of ignorance"!

Moreover, the medical examination fee is not a small expense. A slightly comprehensive inspection package will cost three or four thousand yuan, and the price will easily be "over 10,000" by adding several inspections!

Doctor: Many physical examinations are just a matter of coping with things.

Bi Xiaofeng, deputy director of the Department of Cancer Prevention, Cancer Hospital, China Academy of Medical Sciences, said: In fact, physical examination in many units is easy to become a mere formality, and there is no key direction at all, which is a waste of money and can’t help to check diseases, especially many serious diseases. ①

Color Doppler ultrasound examination of prostate

One of many physical examinations is abdominal color Doppler ultrasound, and men over 40 years old often add an extra item called "Qiancai"-prostate color Doppler ultrasound to screen whether they have prostate cancer.

This test can’t detect early prostate cancer, and it doesn’t even have the effect of diagnosis. There is really no way to identify whether it is benign hyperplasia or prostate cancer by color Doppler ultrasound. This can’t be distinguished, because the manifestations of cancer are the same when detected by color Doppler ultrasound. Whether the patient’s nodules are inflammatory or proliferative nodules can’t be distinguished from color Doppler ultrasound or B ultrasound.

[Correct examination method] If you really want to tell whether it is prostate cancer or not, MRI should be the first choice, and the cost is relatively high. An MRI costs a total of one or two thousand yuan, which is completely unnecessary in the ordinary daily physical examination package. When middle-aged and elderly men need to be screened for prostate cancer, the best examination is prostate-specific antigen project, which is what we call "PSA examination". ②

2 blood calcium examination

In the package of general medical examination center, whether it is the package for the elderly or the package for children’s medical examination, there will be an examination called blood calcium examination. Blood calcium test is to measure trace elements by drawing blood to judge whether there is calcium deficiency, especially for children. Many parents are also particularly concerned about this item. In fact, it is completely unreliable.

According to the doctor, trace elements should not be used as a routine physical examination or an item that needs to be examined. Its accuracy is definitely not as high as that of spot check and examination from venous blood. After finding out (there is a problem), it is forbidden to judge whether he is really deficient in zinc, calcium or iron based on such a laboratory test. The calcium in trace elements refers to the whole calcium. When it is really deficient in calcium, it should be deficient in permanent calcium.

As early as five years ago, in 2013, the former General Office of the National Health and Family Planning Commission issued a notice on the clinical detection of trace elements in children: the detection of trace elements should not be used as a routine physical examination item!

It is also emphasized that medical institutions at all levels should not carry out trace element testing for children unless it is necessary for diagnosis and treatment. Trace element detection should not be taken as a general survey item such as physical examination, especially for infants under 6 months. ③

That is to say, it is illegal to test trace elements during general physical examination and medical treatment! It is clearly stated in the document of the National Health and Family Planning Commission that medical institutions that carry out trace element testing in violation of regulations should be dealt with according to the law!

It is even more nonsense to check blood calcium by drawing blood. This kind of inspection is mostly for the purpose of re-checking and selling calcium tablets to you.

3 cervical curettage screening

In the packages of many medical institutions, there will be an examination for women in their 30 s and 40 s called cervical curettage screening. I often tell you that this test is for cervical cancer.

However, the doctor said that the average satisfaction rate of cervical smear sampling is only 60%, which means that 40% of the inspection samples are unreliable, so the pathologist can’t be blamed for missing diagnosis. Therefore, this inspection must not be done, even if it is done, it will not be found!

[Correct examination method] The most recommended item for screening cervical cancer is ——TCT. The upgrading of technology has improved the sampling satisfaction to over 95%, and those suspicious cancer cells will be difficult to hide! Who needs special attention: married, have found cervical abnormalities, have not checked TCT for three years, and have reproductive tract symptoms. ②

4 creatinine/urea nitrogen check

Generally, in the urine biochemical examination, some medical institutions often recommend you to add a "creatinine/urea nitrogen examination" and tell you that this examination is to check "kidney function".

According to the doctor, even if you lose half of your renal function, you can still survive, and creatinine/urea nitrogen may still be normal. Real kidney damage is often recessive and chronic, and the early damage is not corrected. When there are symptoms or creatinine/urea nitrogen exceeds the standard, you can’t go back! In other words, even if the "creatinine/urea nitrogen test" shows that you have a problem, it will be late!

[Correct examination method] The correct examination to check whether the renal function is normal should be urinary microalbumin-as long as there is a little glomerular damage, albumin may "leak" into the urine, and microalbumin can be accurately detected, so the early renal damage can’t be hidden. It is better to reduce the error caused by urine concentration by detecting the ratio of microalbumin to creatinine in urine, so it is called early renal function screening (ACR).

5 cervical lateral radiograph examination

As we all know, many medical institutions will add a cervical lateral film examination to the medical examination package to help you check whether there is cervical spondylosis.

However, the lateral radiograph of cervical spine can only look at whether there is any abnormality in curvature, and occasionally disc herniation can be found, and a "degeneration" that is meaningless is reported; The dislocation of cervical spine is not only anteroposterior, but also left and right, rotation and other angles, and the influence on cerebral blood supply and nerve root compression needs to be considered. The most important thing is that cervical radiographs not only have little effect, but also inevitably radiate to the most delicate and important organ of the human body-thyroid! You should know how common thyroid problems are.

[Correct examination method] The correct examination should be to go to the hospital to check the cervical MRI-nuclear magnetic resonance can reconstruct the images of cervical vertebrae and intervertebral discs in three dimensions, and there is no radiation concern at all. If combined with the physiological examination of cervical vertebra, it can comprehensively detect the early joint dislocation and dysfunction of cervical vertebra, and help to directly guide rehabilitation.

6 fasting blood glucose screening for diabetes

Many medical institutions will tell you in advance that you should never eat before the medical examination, because blood is drawn to check your blood sugar and check whether you have diabetes.

According to authoritative research, fasting blood glucose screening will miss nearly half of diabetes and more than 70% of pre-diabetes, and at least half of them have disorder of blood glucose metabolism (or diabetes trend), so it can be said that fasting blood glucose screening for diabetes is the most unreliable physical examination item!

[Correct examination method] The correct examination should be to check glycosylated hemoglobin, which can reflect the average blood sugar level for three months and greatly reduce the missed diagnosis caused by fasting blood sugar alone; Early diabetes screening is recommended, which can detect the physiological disorder of blood sugar/insulin at an early stage, and it is the most suitable early warning method for diabetes in general survey without blood drawing and needle puncture.

The first few items of physical examination generally have the measurement of "height and weight". Many people have finished the examination, and often the results appear last time-obesity and overweight.

In fact, judging whether you are obese by your body weight is not so accurate. This is because the formula for judging obesity is the conversion formula of BMI.

However, there are many "hidden fat people" who are not fat but have high fat content; There are also super-fit people, who weigh off the charts but have a perfect figure, but of course they are not obese. ②

[Correct inspection method] Experts remind that the standard of body composition analysis-whether it is obesity is definitely the body fat rate, not the height-weight ratio. Therefore, we can’t fully believe the "obesity and overweight" in the physical examination report.

No gastric cancer can be found in 8 laboratory indexes.

Laboratory indicators include hematocrit, hemoglobin, fecal occult blood, gastric juice and many other items, which are often used to indicate the health of the stomach in physical examination, but in fact, gastric cancer can not be detected.

It’s ok to use laboratory test indexes in the primary screening of gastric diseases, but if we use these indexes to screen gastric cancer, it’s a bit overwhelming, because their accuracy is still not up to the requirements.

[Correct examination method] Experts suggest that gastroscopy is the most standard and accurate, and it is the first choice for screening and diagnosing gastric cancer. However, gastroscopy is relatively expensive and more painful, and it is an invasive examination. Therefore, if the result of the first gastroscopy is benign, it can be done every five years. However, if the physical examination results show that there are patients with gastric dysplasia (such as inflammation), atrophy, gastric ulcer or family history of gastric cancer, besides treating these diseases, the interval of physical examination is preferably 2~3 years.
